Terms
Who may use Evidilo, what a plan entitles a firm to, how statement pages are counted, what we may do with what is uploaded, and what each side carries.
The agreement
These terms are a contract between Zava Solutions LLC, which operates Evidilo (“we”), and the business that uses Evidilo (“you”). A person who uploads a statement, creates an account or signs in for a business confirms that they may bind it, and the business is bound.
They apply to every use of Evidilo, with an account or without one: uploading a statement without an account binds you exactly as an account does. You accept them by uploading a statement, creating an account or signing in, as the sentence or the box beside each of those buttons says. Each time, we record the version of these terms the page showed, which is the date they were last updated, with the act, the time and the account or the browser it came from. If you do not accept them, do not use Evidilo.
The privacy notice and the data processing terms are part of this agreement. Where one of them and these terms disagree, these terms prevail.
Who may use Evidilo
Evidilo is offered only to businesses established in the United States, for use in their business: accounting, bookkeeping and tax firms, and businesses converting their own statements. It is not offered to consumers, or to anyone in the European Economic Area, the United Kingdom or Switzerland.
By using it you confirm that:
- you act for a business established in the United States, and use Evidilo for that business and not as a consumer;
- you are at least 18 years old and may enter into a binding contract;
- neither you nor the business is barred from receiving services under the law of the United States, its sanctions included; and
- you will not upload a statement of a client of yours who is in the European Economic Area, the United Kingdom or Switzerland.
The service, and what it returns
The service reads a bank statement and returns a file QuickBooks or Xero imports, with every row checked against the balances the bank printed.
The check is a continuity check, not an accuracy measurement. It catches a wrong amount or sign, a missing row and a duplicated row. It cannot catch a wrong date or a wrong description. A statement that does not tie out is marked at the row where it breaks, and the row is the reader’s to correct.
What Evidilo returns is a draft. You check every row against the statement before you import it, file it or rely on it, and the rows you import are your own work. A statement that ties out can still carry a wrong date, a wrong description or a wrong counterparty.
Evidilo gives no accounting, tax, legal or financial advice and prepares no tax return. It is not a place to keep records: keep your own copy of every statement you upload and of every file you download.
The account and the firm
The firm is the data owner. The person who creates it is its owner, and invites the others by email as an admin, a member or a viewer. An invitation works only for the address it was sent to, and for seven days.
A plan belongs to the firm and not to a person, and seats are free on every plan. A person signs in with a link sent to their address, which works once and expires after 15 minutes; a Google account; or a passkey on their own device. A password can also be set, and an authenticator app can be added as a second step, with eight single-use recovery codes.
Keep your ways of signing in to yourself. You answer for everything done through your account and your firm, and you tell us at [email protected] as soon as you learn of a use you did not authorise.
The firm is responsible for its own members and for what they upload and download through it, and for holding the right to a client’s statement, set out below.
Plans and pages
Prices are in US dollars, a month at a time. A plan’s pages are counted over its billing month, which runs from the day of the month the plan started. A subscription is started from inside the app.
| Plan | Price a month | Pages a month | Price a page |
|---|---|---|---|
| Free | $0 | Up to 10 pages, 3 files a day | Not metered |
| Starter | $29 | 100 | $0.29 |
| Firm | $99 | 600 | $0.165 |
| Practice | $299 | 2,500 | $0.12 |
| Over the allowance | Charged per page | Over the plan’s pages | $0.12 |
What a plan entitles a firm to:
- The pages a month the plan names, with the pages over the allowance charged at $0.12 a page.
- A statement of up to 100 pages, and in one UTC day up to as many pages as the plan includes in a month.
- QBO and CSV output files.
- The balance check before download.
A page is counted once, and only when the statement it belongs to ties out: each page of a statement that ties out counts once, so a 6-page statement uses 6 pages. A statement that fails the balance check is not counted until it ties out, and a statement that never ties out is never counted, even if the file is downloaded anyway. Downloading a statement again, or in another format, uses nothing.
Unused pages do not carry over: the count starts again with each billing month. The plans and their prices are on pricing.
Stripe charges the plan, and the pages over its allowance, to the card the firm gave it. Fees are not refunded, in whole or in part, unless a law that cannot be varied by contract requires it. A change to another plan takes effect at once: Stripe credits the unused part of the old plan and charges the new one for the rest of the billing month, on the next invoice. Prices do not include taxes: where a sales or similar tax applies, you pay it. We may change a price or a plan, and a change reaches a firm from its next billing month after its owner has been told of it.
Acceptable use
Upload only statements you are entitled to upload, and use the service only to read a statement into an import file.
Do not use it to do anything unlawful, to reach a firm’s data that is not yours, or to break or overload the service. Do not upload a file that carries malicious code, get around the free allowance, a page limit or a refusal, take the service apart, copy or scrape it, or use it or what it returns to build a competing product. Where a firm’s member breaks these terms, the firm is answerable for it.
What Evidilo keeps, and the licence to it
Every file uploaded to Evidilo, with an account or without one, is kept for good in Evidilo’s archive, encrypted. Beside it we keep what Evidilo read from it, each correction a person made to a row, the rows of the last download with its format, and whether the file is cleared for training. Deleting a firm or an account does not delete them: they stay, detached from the firm.
You grant Zava Solutions LLC a worldwide, non-exclusive, royalty-free, perpetual and irrevocable licence to store, copy, read, analyse and modify those files and records, and to make works derived from them, to provide Evidilo to you and to keep them as this section says. For a file cleared for training, the licence also covers developing, training, testing and improving how Evidilo reads and converts statements, including the rules and the models it reads them with. The licence reaches your clients’ statements, and what they name, as far as it reaches your own.
A file is cleared for training only if it was uploaded through a firm’s account under these terms, on or after October 20, 2026, while the firm’s owner had turned on “Our clients agreed to training” in Settings. The setting is off until the owner turns it on, and turning it off reaches only later uploads: a file already cleared stays cleared. A file uploaded without an account, before October 20, 2026 or while the setting was off is never cleared, even if an account later takes it over. Such a file is used only to provide Evidilo, to protect against a claim about it, and where a law, a court order or a public authority requires it.
By turning the setting on, the firm’s owner promises for the firm that every statement uploaded while it is on may be used for training: that the firm’s client, and anyone else whose consent the law, the firm’s professional rules or its engagement with the client require, has agreed to that use for as long as the statement is kept, in the form those require, as the section on authorisation sets out.
We use the archive for nothing else. We never sell it, and we never share it beyond the companies that run Evidilo for us, named in the privacy notice, unless a law, a court order or a public authority requires it. A business that succeeds to Evidilo takes the archive and this licence under the same limits.
The licence survives the end of these terms, the cancellation of a plan and the deletion of a firm or an account, and it cannot be withdrawn for a file already uploaded. You keep the rights you hold in your files; Evidilo, its software, its rules and models, and what we derive from the archive are ours.
Availability
No service level is promised. No uptime figure, response time or support level is published, and nothing on this site is one. We may change, suspend or stop any part of Evidilo at any time.
A reading runs on our server. A read that runs longer than two minutes is stopped, and a page that has waited that long for a result stops waiting and says so.
No warranty
Evidilo and everything it returns are provided as is and as available. To the fullest extent the law allows, we disclaim every warranty and condition, express or implied, including merchantability, fitness for a particular purpose, accuracy, title and non-infringement, and any warranty that Evidilo will read a given statement, that what it returns is complete or correct, or that it will run without interruption or error.
No figure, example or description on this site or in the app, an accuracy figure included, is a warranty.
Liability
The service reads a statement and checks it against the balances the bank printed. That check is a continuity check and not an accuracy measurement, so a wrong counterparty or a wrong description can survive it. The rows a firm imports are the rows it has read.
To the fullest extent the law allows, neither Zava Solutions LLC nor its members, managers or employees is liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for lost profits, revenue, business, goodwill or data, a penalty, interest or fee charged by a tax authority, a bank or anyone else, or the cost of correcting books or returns, arising from Evidilo or these terms, even if told that such a loss was possible.
Our total liability for all claims arising from or relating to Evidilo or these terms, taken together, is limited to the greater of the fees your firm paid us for Evidilo in the twelve months before the event the first claim arises from, and US$100.
These limits apply whatever the claim rests on, in contract, in tort including negligence, under a statute or otherwise, and even if a remedy fails of its essential purpose. They do not limit a liability the law does not allow to be limited.
Your indemnity
You will defend Zava Solutions LLC, its members, managers and employees against any claim, demand, investigation or proceeding brought by anyone else, your client, a person named in a statement, a regulator and a tax authority included, that arises from a file you or your firm’s members uploaded, from a consent, notice or authorisation you needed and did not hold, from what you imported, filed or relied on from what Evidilo returned, or from your breach of these terms or of a law. You will pay the damages, fines, penalties, settlements and reasonable legal fees and costs that result.
This applies also where the claim says that Evidilo’s negligence, or an error in what it returned, caused or added to the loss, unless a court or an arbitrator finally decides that our fraud or wilful misconduct caused it.
We tell you of the claim and you control its defence, but you settle it only with our written consent where the settlement would bind us or admit a fault of ours. We may take part with counsel of our own, at our own cost.
Suspension, termination and ending a plan
We may refuse an upload, and suspend or end your access, a firm or an account, at any time and without notice, if we believe you broke these terms or a law, if a payment fails, or if your use puts Evidilo, its users or us at risk. We may also end these terms, or stop offering Evidilo, for any reason, by telling a firm’s owner 30 days before; the plan then runs to the end of the billing month already paid for.
A firm cancels its plan from inside the app, and the cancellation takes effect at the end of the billing month already paid for. That month is not refunded, and no part of it is: the plan runs to the end of the period and stops there. Nothing is charged after it, and the pages of the plan stay available until the period ends.
Deleting a firm removes its conversions with the rows read from them and the corrections made to them, its export files, its members and its invitations, and the name and details that identify it in its billing record, and cancels its plan. The uploaded files and the records beside them stay in the archive, detached from the firm, under the licence above; the audit log and the billing and tax records stay too, as the security page sets out. Download what you want to keep before you delete the firm.
What these terms say about the licence, your promises about what you upload, the indemnity, the disclaimer, the limits of liability, disputes and fees owed survives their end.
Changes to these terms
We may change these terms. We post every change on this page with its date, and tell each firm’s owner of a material change, in the app or by email, before it takes effect; the sentence or the box beside the upload, sign-up and sign-in buttons asks for your agreement to the terms as they stand. Using Evidilo after a change takes effect accepts it. If you do not accept a change, stop using Evidilo and cancel the plan.
A change never widens what we may do with a file uploaded before it. A change to the section on disputes does not apply to a dispute either side had raised in writing before the change.
Disputes
Before either side starts a claim, it writes to the other, to us at [email protected], and both try in good faith for 30 days to settle it.
A dispute arising from or relating to Evidilo or these terms that is not settled is decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Sheridan, Wyoming, and conducted in English; a hearing may be held by video. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
Either side may instead bring an individual claim in a small-claims court that has jurisdiction, and either side may ask a court for an injunction against a misuse of Evidilo, an infringement of intellectual property or unauthorised access.
Claims are brought only individually, never as a plaintiff or a class member in a class, collective, consolidated or representative proceeding, and an arbitrator may not join the claims of more than one party. Where a claim goes to court, both sides waive a trial by jury. If this paragraph is held unenforceable for a claim, that claim is decided by the courts named below and not by arbitration.
A claim must be started within one year after it arose, or it is barred, unless a law that cannot be varied by contract allows longer.
The party, and the law
These terms are with Zava Solutions LLC, a Wyoming limited liability company, whose registered address is 30 N Gould St Ste N, Sheridan, WY 82801, United States.
The law of the State of Wyoming governs these terms and every dispute about Evidilo, without regard to its rules on conflicts of law, together with the federal law of the United States. Subject to the section on disputes, the state courts of Sheridan County, Wyoming, and the United States District Court for the District of Wyoming have exclusive jurisdiction, and both sides submit to them.
Notices to us go to [email protected]. Notices to you go to the address of the firm’s owner, or to the address you signed in with.
These terms and the documents they name are the whole agreement about Evidilo and replace anything said before. If a part of them cannot be enforced, the rest stands and that part is enforced as far as the law allows. Not enforcing a part is not a waiver of it. You may not transfer these terms without our written consent; we may transfer them to a successor to Evidilo. Neither side is liable for a failure caused by events beyond its reasonable control, except a failure to pay. These terms give no right to anyone who is not a party to them, a firm’s client and a person named in a statement included, except that our members, managers and employees may rely on the sections on liability and indemnity.
